Acceptance of Terms
By accessing or using the Lex platform, including all associated services, APIs, extensions, and documentation (collectively, the "Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
Description of Service
Lex is an AI orchestration platform that provides governed agent workflows, policy enforcement, cost intelligence, and audit logging for enterprise engineering teams. The Service includes VS Code extensions, CLI tools, desktop applications, web dashboards, and associated APIs.
User Accounts
You must provide accurate, complete information when creating an account. You are responsible for safeguarding your credentials and for all activity under your account. Organization administrators are responsible for managing user access, permissions, and policy configurations within their organization.
Acceptable Use
You agree not to misuse the Service. This includes attempting to bypass governance policies, reverse-engineering the platform, using the Service to generate harmful or illegal content, or exceeding rate limits or usage quotas. We reserve the right to suspend accounts that violate these terms.
Data & Privacy
Your code, conversations, and agent outputs remain your property. We process data only as necessary to operate the Service. Audit logs are retained according to your organization's configuration. For full details on data handling, see our Privacy Policy.
Third-Party Models
The Service routes requests to third-party AI model providers (e.g., Anthropic, OpenAI, Google). Your use of these models is subject to each provider's terms. Lex manages routing and policy enforcement but does not control the underlying model behavior.
Billing & Payment
Pricing is based on a platform fee plus per-seat licensing under annual agreements. AI model usage costs are passed through at provider rates or via your own API keys (BYOK). We will provide at least 30 days' notice before any pricing changes take effect.
Service Level
We target 99.9% uptime for the control plane and API services. Enterprise customers receive SLA guarantees with defined remedies. Scheduled maintenance windows are communicated at least 72 hours in advance.
Intellectual Property
You retain all rights to your code, data, and outputs generated through the Service. Lex retains rights to the platform, its design, documentation, and proprietary technology. Neither party acquires rights to the other's intellectual property except as expressly stated here.
Limitation of Liability
To the maximum extent permitted by law, Lex's total liability for any claims arising from these terms or the Service is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or incidental damages.
Termination
Either party may terminate with 30 days' written notice. Upon termination, your access to the Service will be revoked. We will provide a 90-day data export window. Provisions that should survive termination (IP, liability, confidentiality) will remain in effect.
Changes to Terms
We may update these terms from time to time. Material changes will be communicated via email and in-product notifications at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.
Governing Law
These terms are governed by the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales, unless otherwise agreed in your Enterprise agreement.
